1. The competition

1.1 This competition is being run by Novartis Pharmaceuticals UK Limited, 2nd Floor, The WestWorks Building, White City Place, 195 Wood Lane, London, W12 7FQ.

1.2 The title of the competition is “Novartis Biome UK Heart Health Catalyst 2022” in partnership with Medtronic Ltd (a healthcare technology partner), RYSE Asset Management (a funding partner) and Chelsea and Westminster Hospital NHS Foundation Trust and its official charity CW+ (a NHS Trust partner).

2. How to enter

2.1 The competition will run from July 5 2022 (the "Opening Date") to August 31 2022 (the "Closing Date") inclusive.

2.2 All competition entries must be received by Novartis at the address set out at condition 1 by the Closing Date. All competition entries received after the Closing Date are automatically disqualified.

2.3 To enter the competition, please fill out the application form provided and attach your Pitch Deck as indicated by the Closing Date.

2.4 Novartis and Medtronic will not accept:

(a) responsibility for competition entries that are lost, mislaid, damaged or delayed in transit, regardless of cause, including, for example, as a result of any postal failure, equipment failure, technical malfunction, systems, satellite, network, server, computer hardware or software failure of any kind; or

(b) proof of posting or transmission as proof of receipt of entry to the competition.

2.5 By submitting a competition entry, you are agreeing to be bound by these terms and conditions.

2.7 The competition entries will be judged by a panel of judges based on [ the solution’s ability to meet the overall aim of the competition: to identify and implement solutions that empower patients to improve their heart health, and help prevent future heart attacks or strokes through home-based digital solutions]. The decision of the panel of judges (acting reasonably) will be final.

3. Eligibility

3.1 Entrants who meet the following criteria shall be eligible to enter the competition:

(a) The entrant must have a working product for their potential solution at the time of application, at least in beta stage

(b) The company (i.e. the entrant) must be at least two (2) co-founders or staff

(c)Any stage from pre-seed to Series B

(d) A representative must be available to attend a live pitch in London on 27th and a selection announcement event 28th September 2022 at HETT.

3.2 In entering the competition, you confirm that you are eligible to do so and eligible to claim the prize. Novartis may require you to provide proof that you are eligible to enter the competition.

3.3 Novartis reserves all rights to disqualify you if your conduct is contrary to the spirit or intention of the competition.

4. The prize

  • Unrivalled support from industry-leading partners during the competition process
  • Opportunity of investment of up to three million pounds (£3,000,000) provided by RYSE Asset Management, subject to due diligence and at RYSE’s sole discretion.
  • Access to the Novartis Biome UK eco-system
  • Opportunities to work with NHS partners to set up and deliver a pilot evaluation of the winning innovation.

The prize is not negotiable or transferable.

5. Winners

5.1 The decision of the judges shall be final and no correspondence or discussion will be entered into.

5.2 Novartis will contact the winner personally as soon as practicable after the Announcement Date, using the telephone number or email address provided with the competition entry.

6. Limitation of liability

Insofar as is permitted by law, Novartis, Medtronic, its agents or distributors will not in any circumstances be responsible or liable to compensate any of the entrants or the winner or accept any liability for any loss, damage, personal injury or death occurring as a result of taking up the prize except where it is caused by the negligence of Novartis, its agents or distributors or that of their employees. Your statutory rights are not affected.

7. Ownership of competition entries and intellectual property rights

7.1 Novartis does not claim any rights of ownership in your competition entry.

7.2 You agree that Novartis and/or Medtronic may, but is not required to, make your entry available on its websites (https://www.biome.novartis.com/innovation-hubs/novartis-biome-uk/uk-hea… and (https://www.medtronic.com/uk-en/index.html) and any other media, whether now known or invented in the future, and only in connection with any publicity of the competition. You agree to grant Novartis a non-exclusive, worldwide, irrevocable licence, for the full period of any intellectual property rights in the competition entry and any accompanying materials, to use, display, publish, transmit, copy, edit, alter, store, re-format and sub-licence the competition entry and any accompanying materials for such purposes. For the avoidance of doubt, nothing in these terms and conditions will grant either Novartis or Medtronic to use your confidential information and any rights granted under this clause shall be limited to information on your entry only.

8. Data protection and publicity

8.1 Novartis will only process your personal information as set out in the https://www.novartis.co.uk/privacy-policy. See also condition 3 and condition 6.4, with regard to the announcement of winners.

9. General

9.1 If there is any reason to believe that there has been a breach of these terms and conditions, Novartis may, at its sole discretion, reserve the right to exclude you from participating in the competition.

9.2 Novartis reserves the right to hold void, suspend, cancel, or amend the prize competition where it becomes necessary to do so.

9.3 These terms and conditions shall be governed by English law, and the parties submit to the non-exclusive jurisdiction of the courts of England.
